These Terms of Service ("Terms") govern your access to and use of Truxello's transportation management system, including the web application at app.truxello.com, the Truxello Driver mobile application, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
Our Privacy Policy explains how we collect and use information and is part of these Terms.
You own the data you and your users put into the Service, including loads, invoices, documents, settlements, and driver information ("Your Data"). You grant us a limited license to host, process, and transmit Your Data only as needed to provide and support the Service. You are responsible for having the rights and consents needed to upload Your Data, including drivers' consent to location tracking where required.
You can request a copy of Your Data at any time by contacting us. After your account is closed we may delete Your Data, except where we must keep it to meet legal obligations.
The Service sends invoices, factoring submissions, rate confirmations, and other messages to recipients you choose, such as brokers, factoring companies, and drivers. You are responsible for the content of these messages and for sending them only to recipients you have a business relationship with. You may not use the Service to send unsolicited bulk or marketing email.
If you connect a Gmail or Microsoft Outlook account, Truxello sends these messages from that account on your behalf and only when you or your users trigger them. Connecting an account is optional, and you can disconnect it at any time. How we handle connected accounts is described in section 9 of our Privacy Policy. Your use of a connected account also remains subject to Google's or Microsoft's own terms.
You agree not to:
The Service connects to third-party services you choose to use, such as ELD providers, load boards, fuel cards, accounting software, payment processors, and email providers. Those services are governed by their own terms, and we are not responsible for their availability or for data they provide. Carrier and broker verification information comes from public sources such as FMCSA and is provided for convenience; you remain responsible for your own vetting decisions.
Features such as IFTA reports, hours-of-service data, driver settlements, and compliance reminders are tools to help you. They are not legal, tax, or accounting advice, and you remain responsible for the accuracy of your filings, payments to drivers, and compliance with FMCSA and other regulations.
Truxello and its licensors own the Service, including its software, design, and trademarks. Apart from the rights to use the Service granted in these Terms, no rights are transferred to you. If you send us feedback, we may use it without obligation to you.
You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that creates legal or security risk for us or others. Where reasonable, we will give notice and a chance to fix the problem first.
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, or that data from third parties (such as GPS positions, ETAs, mileage, or load board listings) will be accurate.
To the fullest extent permitted by law, Truxello will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.
You will defend and indemnify Truxello against third-party claims arising from Your Data, the messages you send through the Service, or your violation of these Terms or applicable law.
We may update these Terms from time to time. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in California, and both parties consent to their jurisdiction.
